Legal Challenges of Early Stage Startups

This course will deal with the early-stage practical legal challenges faced by entrepreneurs with an emphasis on the health-care space. It will provide U.S. and foreign business owners with the legal tools to form and grow their companies. 

 

Topics include formation of U.S. entities and foreign affiliates; choice of state, law, and courts; drafting of key organizational documents; preservation of competitive value and confidentiality; crowdfunding, financing and SEC exemptions; debtor-creditor collection and restructuring tips, as well as risk management options.
